Terms of Service

1. Acceptance of Terms

By creating an account or using Vorena AI (“the Service”), operated by Helmsworth LLC (“we,” “us,” “our”), you agree to these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users, including business owners who embed our chatbot widget on their websites and their end users.

2. Description of Service

Vorena AI provides AI-powered business automation tools, including chatbot widgets, lead capture, CRM, analytics, and related features. Features vary by subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information when creating your account. One person or business entity per account unless additional seats are included in your plan. You are responsible for all activity under your account.

4. Billing & Subscriptions

Paid plans are billed monthly or annually. Prices are listed on our pricing page and may change with 30 days notice. Refunds are available within the first 14 days of a new subscription. Downgrading takes effect at the end of the current billing cycle. Conversation packs are non-refundable once purchased.

5. Acceptable Use

You agree not to use Vorena AI for any unlawful purpose, to transmit harmful, threatening, or abusive content through the chatbot, to attempt to gain unauthorized access to other accounts or systems, to resell or redistribute the service without written permission, or to exceed your plan limits through automated means.

6. Intellectual Property

You retain ownership of your business data, content, and leads. Vorena AI retains ownership of the platform, software, and AI models. The chatbot widget code is licensed for use on your websites as part of your subscription. You may not reverse engineer, decompile, or extract source code from the platform.

7. AI-Generated Content

AI responses are generated automatically and may not always be accurate. You are responsible for reviewing AI-generated content before using it in your business communications. Vorena AI is not liable for decisions made based on AI-generated content, including chatbot responses to your customers.

8. SMS & Communications Consent

By providing your phone number during account registration or within your account settings, you consent to receive SMS messages from Vorena AI related to your account, including onboarding assistance, trial reminders, payment alerts, and support communications.

• Reply STOP to any message to opt out of SMS communications
• Reply HELP for support information
• SMS is not required to use the platform

SMS messages are sent via Twilio, a third-party communications provider. By consenting to receive SMS, you acknowledge that messages may be delivered through Twilio's infrastructure. See Twilio's privacy policy at twilio.com/legal/privacy for details.

For business customers using Vorena's platform:

If you use Vorena AI to send automated follow-up messages or notifications to your customers, you are responsible for obtaining proper consent from your customers in compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state and international laws. Vorena AI provides the tools — you are responsible for how you use them.

9. Email Communications

By creating an account, you consent to receive transactional emails related to your account (payment confirmations, security alerts, feature updates). You may also receive marketing or educational emails, from which you can unsubscribe at any time via the unsubscribe link in each email or by contacting support.

Emails sent by Vorena AI on behalf of your business (follow-up emails, nurture sequences, review requests) include unsubscribe functionality for your customers. You agree not to use Vorena AI's email features to send unsolicited spam or to recipients who have not consented to receive communications from your business.

10. Data Processing on Behalf of Clients

Vorena AI acts as a data processor on behalf of our business customers (data controllers). When your customers interact with your AI chatbot, submit lead forms, or engage with your booking system, we process that data solely to provide our services to you. We do not use your customers' data for our own marketing purposes. You are responsible for providing appropriate privacy disclosures to your customers regarding the use of AI-powered chat and automated communications on your website.

11. Limitation of Liability

Vorena AI is provided “as is” without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

12. Termination

Either party may terminate at any time. You may cancel your subscription from the billing page. We may suspend or terminate accounts that violate these terms. Upon termination, your data will be retained for 30 days, after which it may be permanently deleted.

13. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these terms or your use of the Service shall be resolved in the state or federal courts located in Delaware.
